Terms of Service

1. Who we are

ClockTrue is a workforce time and attendance service operated by Examin AI Inc., 447 Broadway, 2nd Floor, #2874, New York, NY 10013, United States ("Examin AI", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the ClockTrue applications, websites, and related services (together, the "Service").

2. Accepting these Terms

By creating an account, starting a trial, or using the Service in any way, you agree to these Terms on behalf of the company you represent. If you do not agree, do not use the Service. If you have a separate written agreement with us, that agreement prevails where it conflicts with these Terms.

3. The Service

ClockTrue provides AI face recognition clock in and out, punctuality and attendance tracking, shift and position management, HR reporting, and IoT access control for gates, barriers, turnstiles, and doors. The Service is installed on Android devices that you own and manage. Features may evolve over time; we will not materially reduce the core functionality of a paid plan during a paid term.

4. Your account

You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity under your account and for making sure only authorized administrators can access it. Tell us immediately at contact@examin.ai if you suspect unauthorized use.

5. Trials, plans, and billing

New customers receive a 30-day free trial with full functionality. Paid plans are priced by workforce size band, as published on our pricing page. Unless agreed otherwise, subscriptions renew automatically and can be cancelled at any time with effect from the end of the current billing period. If your headcount grows into a higher band, we may move you to the corresponding plan at the next renewal. Price changes are announced at least 30 days in advance.

6. Your responsibilities as an employer

You act as the data controller for your employees' data, including biometric data. Before enrolling any employee you must have a lawful basis to do so, obtain any consent required by applicable law, inform employees about how the system works, and honor their legal rights. You must comply with all labor, privacy, and biometric laws that apply to you (for example GDPR or CCPA). The Service must not be used for covert surveillance.

7. Acceptable use

You must not misuse the Service. That includes: attempting to access other customers' data, reverse engineering or copying the Service, circumventing security or usage limits, uploading unlawful content, or reselling the Service without our written permission.

8. Your data and our intellectual property

You own your data, including attendance records and the biometric templates derived from your employees. You grant us the limited rights needed to host, process, and back up that data in order to run the Service. We (and our licensors) own the Service, its software, and its branding.

9. Availability and warranties

We work hard to keep the Service fast and available, but it is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted or error free, or that face recognition will be accurate in every environment. Physical access decisions (gates, doors) remain your responsibility; always provide a safe manual override.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and our total liability under these Terms is limited to the amounts you paid for the Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.

11. Termination

You can stop using the Service and cancel at any time. We may suspend or terminate the Service for a material breach that is not cured within 30 days of notice. After termination we make your data available for export for 30 days, then delete it in line with our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in New York County, New York.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you at least 30 days before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
